Automobile salesperson.

Agreement made, effective as of _________[Date], between _________, a corporation organized and existing under the laws of the state of _________, with a place of business at _________[Address], city of _________, county of _________, state of _________("Company"), and _________, of _________[Address], city of _________, county of _________, state of _________("Employee") states as follows:

1. Employee agrees to serve and to perform such duties at such times and places and in such manner as Company may from time to time direct. Employee agrees to faithfully perform the assigned duties to the best of his [or her] ability and to devote full and undivided time to the transaction of the Company's business. Employee agrees to render faithful services to Company in obtaining such prospective customers and shall exclusively handle the _________ automobiles for and during the [Year] automobile season. Employee agrees to use the best efforts to make sales of automobiles and automobile equipment for Company. Employee agrees not to engage in any other business during the term of this employment agreement.

2. In consideration of Employee's promises and intentions stated above, and as compensation for his [or her] work and dedication to the business of Company, Company agrees to pay Employee a commission of _________ percent on the selling price of all sales of _________ automobiles or automobile equipment, where Employee either introduces the purchaser or closes the deal. The total amount of commission to be paid to Employee for the services during the entire automobile season shall not exceed in the aggregate, from all commissions, the total of $_____. All of the excess revenue and profit over and above the amount of $_____ shall inure entirely to the benefit of the Company. Sales made by Employee must be on the basis of _________ percent cash and balance on delivery of the article sold, and the commission of Employee shall be payable on receipt by principal of the _________ percent cash payment of the sales made by Employee.

3. If, and in the event Company is required to repossess itself of any automobile delivered to any customer of Employee, then Employee is to reimburse Company for the proportion of the commissions on the refund or reclamation.

4. This agreement shall become effective as stated above, and shall be for a period of _________. At the expiration of such period of time, this agreement may be extended on a _________ basis on the terms and conditions as agreed to by parties.

5. This agreement may be terminated by either party on _________ days' written notice to the other party at the address listed above, with or without cause. Company may at any time terminate the employment of Employee, without notice and without liability for expenses incident to termination, for reasons of Employee's absence without notice, neglect of duty, or disrespectful behavior.

6. In the event of termination of this agreement by Employee, if working on other than straight salary basis, settlement will be made only on such new _________ automobiles as have been sold by Employee personally and have been delivered and paid for in full, either in cash or equivalent at the time of such termination, and no allowance will be made to Employee for any new _________ automobiles for which he [or she] may have taken orders and which may be delivered at a later time. In case this agreement is terminated by Company, Employee, if on other than straight salary basis, will be allowed in the final settlement for all orders which have been taken by Employee and accepted, if and when the new _________ automobiles have been delivered and the Company has received payment in full.

7. In the event that any action is filed in relation to this agreement, the unsuccessful party in the action shall pay to the successful party, in addition to all sums that either party may be called on to pay, a reasonable sum for the successful party's attorney's fees.

8. This agreement shall be governed by, construed and enforced in accordance with the laws of the state of _________.
