Sale of spring water and
carbonated beverages.
1. _________ company appoints _________ its
distributor and exclusive agent to distribute _________ in _________[description
of specific territory].
2. Distributor agrees that he [she, it] will purchase
at the current wholesale price the number of cases of _________ which _________
may set at the beginning of each calendar month; the company however
covenanting that the number shall be reasonable, taking into account _________.
3. Distributor shall operate as an independent
contractor and not as an employee.
4. Distributor may adopt any arrangements as he [she,
it] desires with regard to the details of distributing the company's product,
the personnel of workers, and the hours during which work is performed, and
distributor shall be responsible to the company only for the purchase of its
product as set forth. Distributor's activity shall not be subject to the
control, active or implied, of the company, and distributor, being an
independent contractor, shall not be subject to discharge by the company.
5. Distributor shall be in business for himself
[herself, itself] and shall own and service their own trucks.
6. Distributor shall not be required to dress in any
particular style.
7. Distributor shall permit assignments and transfers
of the contract provided the company consents and the assignee assumes in
writing the duties and obligations of the contract.
8. Either party shall have the right to terminate this
contract upon _________ days' notice; and all rights of the parties upon the
termination of the contract, shall cease and be of no force or effect.
9. This contract shall become effective on the
