Special covenant deed.
This special covenant deed, made _________[Date],
by XYZ, Inc., a _________ corporation, whose address is _________, _________,
_________("Grantor"), to and in favor of ABC Corporation, a
_________ corporation, whose address is _________, _________, _________("Grantee"),
states as follows:
That the grantor, for the sum of $_____(a portion
of which having been paid in cash by grantee to grantor and the balance of
which being payable, together with other indebtedness, by grantee to grantor
pursuant to a note dated _________, made by grantee and payable to the order of
grantor, which note is secured, in part, by a mortgage and security agreement
dated _________, executed by grantee in favor of grantor, covering the premises
subsequently described), does grant, bargain, sell, remise, release, alien,
convey and confirm to the grantee, and its successors and assigns, forever,
that certain real estate located in the city of _________, _________ county,
_________, and more particularly described on Exhibit A attached here and made
a part of this agreement; subject to the liens, encumbrances and other matters
affecting the real estate as set forth on Exhibit B attached here and made a

Together with all and singular the tenements,

assigns, does covenant, grant, bargain and agree to and with the Grantee, and
its successors and assigns, that, except for any liens, encumbrances and other
matters set forth on Exhibit B attached here, the grantor has not done,
committed or wittingly or willingly suffered to be done or committed any act,
matter, or thing whatsoever, whereby the premises granted here, or any part or
parcel of it is, or shall or may be charged or encumbered in title, estate or
