Powers of officers.
Since under the articles of incorporation and bylaws
of this company it is the duty and responsibility of this board to determine
the principal powers and duties of corporate officers and the general manager
and this board after due consideration has determined what should be the
principal powers and duties of the corporate officers and the general manager:
Now, it is resolved, that the principal duties of the
president shall be to preside at all meetings of the board of directors and to
have a general supervision of the affairs of the corporation.
Resolved, that the principal duties of the
vice-president shall be to discharge the duties of the president in the event
of the absence or disability of the president for any cause whatsoever and to
assist the president in the general supervision of the affairs of the
corporation.
Resolved, the principal duties of the secretary shall
be to countersign all deeds, leases and conveyances executed by the
corporation, affix the seal of the corporation, and to those other papers as
shall be required or directed to be sealed, to keep a record of the proceedings
of the board of directors, and to safely and systematically keep all books,
papers, records and documents belonging to the corporation or in anyway
pertaining to the business.
Resolved, the principal duties of the treasurer shall
be to keep and account for all money, credits and property, of every nature, of
the corporation, which will come into his [her] hands, and keep an accurate
account of all money received and disbursed, and proper vouchers for money
disbursed, and to render accounts, statements and inventories of money received
and disbursed and of money and property on hand and generally of all matters
pertaining to this office as shall be required by the board of directors.
Resolved, that the general manager shall have power to
direct, manage, and carry on the business of the corporation subject to the
control of the board of directors and to make and execute all contracts
pertaining to the ordinary business of the corporation.
Resolved, that the head officers and general manager
shall perform such additional, different or specific duties as shall from time
to time be imposed or required by the board of directors or as may be
prescribed from time to time by the bylaws.
