(hereinafter referred to as Stockholder) and _________________________________
(hereinafter referred to as "Corporation")
make and enter
into the following agreement on this ______________ day of ______________:
WHEREAS, the
Corporation will be formed by Articles of Incorporation being filed with the
Secretary of the State of _________________ on the _____________ day of _____________________.
At the time of formation, all claims, rights, and ownership of certain assets
must be transferred into the Corporation in order to capitalize the
Corporation; and
WHEREAS,
Stockholder desires to transfer certain assets shown on the attached copy
marked as Exhibit A and the Corporation desires to receive said assets.
NOW,
THEREFORE, for and in consideration of the mutual covenants and agreements
hereinafter entered into, it is agreed as follows:
1.
Stockholder hereby transfers, passes, and assigns all assets listed on the
attached Exhibit "A" to the Corporation.
2. In
consideration for said transfer of assets, the Corporation agrees to issue to
