By contractor.
This agreement made this _________[date] by
_________ Company, a corporation (Company), and _________(Contractor);
Recitals:
Company has issued to Contractor Purchase Order No.
_________, dated _________(Purchase Order). Company has requested
Contractor in that purchase order to perform certain services on and/or deliver
certain goods to the premises of Company, in consideration for which Company
has promised to pay to Contractor $_____.
The parties have discussed expressly and in detail the
nature of Company's premises.
Every facet of Company's operation which might contain
some hazard to Contractor, its employees, agents or representatives has been
revealed to and discussed with Contractor.
It is the intention of both Company and Contractor
that Company, its officers, agents and employees shall not be liable or in any
way responsible for damage, loss or expense resulting to Contractor, its
employees, agents or representatives due to accidents, mishaps or injuries,
either to person or property, of any kind arising from any cause whatever,
except such damage, loss, or expense arising from intentional misconduct of
Company or its employees acting within the scope of their employment.
Agreement:
In consideration of Company's agreement to purchase
from Contractor certain services and/or goods as described in the Purchase
Order and Company's promise to pay to Contractor the consideration for them,
Company and Contractor agree as follows:
1. Contractor agrees to indemnify the Company and its
officers, agents and employees, from any damage or liability which they or it
may sustain due to the death or injury to persons or the destruction of
property involving Contractor or its employees, agents or representatives while
performing the Purchase Order. This indemnity includes falls from any of the
following: scaffolding, ladders, catwalks, beams or other high places. It
includes mishaps involving cranes, booms, elevators, trucks or other equipment.
It includes injuries from electric shock. It includes injuries from defects in
equipment, instruments or devices supplied by the Company. It does not include
negligent or willful misconduct of the Company or its employees acting within
the scope of their employment.
2. Contractor agrees it will comply with and will
cause its employees, agents and representatives to comply with all Company
safety rules and all rules, regulations and standards of and issued pursuant to
the applicable state and federal occupational safety and health acts (OSHA)
while on Company premises, including Contractor furnishing to and requiring the
use by its employees, agents and representatives of OSHA-approved and required
protective equipment such as hard hats, safety glasses and/or any other
personal protective equipment.
3. Contractor expressly releases Company from all
liability or responsibility of any kind arising from such damage, loss, cost or
expense, and the consideration received by Contractor pursuant to the Purchase
Order is complete satisfaction for all such damage, loss or expense heretofore
or hereafter sustained.
4. This Release Agreement is supplemental to the
Purchase Order, which is by reference made a part of this release, and all the
terms, conditions and provisions of it (unless specifically modified in this
agreement) are to apply the same as though they were expressly rewritten,
incorporated, and included in this agreement;
In witness of which, the parties have executed this
Release Agreement as of the day, month and year first above written.
