BOARD OF DIRECTORS' RESOLUTION FOR ACCEPTANCE OF OFFER TO
PURCHASE CORPORATE ASSETS SUBJECT
TO SHAREHOLDERS' APPROVAL
WHEREAS,

an offer from _______________________ (hereinafter referred to as Buyer), dated

personal, tangible and intangible property and assets on the terms and
